1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Smash AP website (smashap.com), services, and Advanced Placement® (AP) exam preparation courses (collectively, the "Services"). The Services are offered by IE Kamil Fanisovich Gabdulkhakov, a registered Individual Entrepreneur (ИП) in the Kyrgyz Republic (INN/ИНН: 20502200440029) ("Company," "we," "us," or "our").

By accessing, browsing, or using our Services in any manner, you ("Student," "Parent," "User," or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you may not access or use the Services.

We reserve the right to modify these Terms at any time. All changes are effective immediately upon posting. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.

2. Description of Services & Merchant of Record

We provide online educational content, including video lectures, study guides, practice questions, and other digital materials, designed to prepare students for College Board Advanced Placement® (AP) exams.

2.1 Role of Paddle

All financial transactions for the purchase of our courses are facilitated and processed by our authorized reseller and payment provider, Paddle.com Market Ltd ("Paddle"). Paddle acts as the Merchant of Record for all such transactions. This means Paddle is solely responsible for billing, payment processing, customer service related to payments, tax collection, and refund operations for the transaction. Your contractual relationship for the sale is with Paddle, governed by Paddle's own terms.

2.2 Our Role

We remain solely responsible for the provision, quality, and delivery of the educational content. Your relationship with us is governed by these Terms.

3. Use of Site & License Grant

3.1 License

Upon confirmed payment via Paddle, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the purchased digital content for your personal, non-commercial educational use only, for the designated access period (e.g., 12 months).

3.2 Restrictions

You agree NOT to:

  • Share, sell, rent, lease, sublicense, assign, or otherwise transfer your account or access credentials to any third party.
  • Copy, reproduce, distribute, modify, create derivative works of, publicly display, perform, republish, download, store, or transmit any of the course material, except for one copy for your personal use.
  • Use any manual or automated means (e.g., robots, scrapers, data mining tools) to access, monitor, or copy any site content.
  • Use the content for any commercial purpose or in any way that infringes upon our intellectual property rights.
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to/from the servers running the Services.
  • Take any action that imposes an unreasonable load on our infrastructure.

3.3 One Person Per Account

Each purchased course license is for use by one individual only. You may not use a single account to allow multiple students to study for the AP exam. We may monitor account usage and terminate access without refund if we suspect sharing or commercial use.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account login information and for all activities under your account. You agree to notify us immediately of any unauthorized access or use. We reserve the right to disable any user account at any time in our sole discretion.

5. Payments, Fees, and Taxes

All fees are listed in United States Dollars (USD). As the Merchant of Record, Paddle is solely responsible for charging your payment method, issuing invoices, and calculating, collecting, and remitting all applicable sales tax, VAT, GST, or other transactional taxes.

6. Refund Policy

Our refund policy is governed by our separate Refund Policy, incorporated herein by reference. Refund requests must be submitted directly to Paddle within the specified period and are subject to eligibility criteria, including limits on course material consumption.

7. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by IE Kamil Fanisovich Gabdulkhakov, its licensors, or other providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

AP® and Advanced Placement® are registered trademarks of the College Board, which is not affiliated with and does not endorse this website or our Services.

8. User Submissions

Any questions, comments, suggestions, ideas, feedback, or other information regarding the Services ("Submissions") that you provide are non-confidential and become our sole property. We will own exclusive rights, including all intellectual property rights, and are entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

9. Disclaimer of Warranties; No Guarantee of Results

YOUR USE OF THE SERVICES AND CONTENT IS AT YOUR OWN RISK. THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE PROVIDE EDUCATIONAL PREPARATION MATERIALS. WE DO NOT GUARANTEE ANY SPECIFIC SCORE, GRADE, OR RESULTS ON THE AP EXAM OR ANY OTHER EXAM. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IE KAMIL FANISOVICH GABDULKHAKOV, ITS OWNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO PADDLE FOR THE SPECIFIC COURSE GIVING RISE TO THE LIABILITY IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT.

11. Indemnification

You agree to defend, indemnify, and hold harmless IE Kamil Fanisovich Gabdulkhakov, its owners, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Kyrgyz Republic, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts located in Bishkek, Kyrgyzstan, and you consent to the personal jurisdiction of such courts.

13. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the sole and entire agreement between you and us regarding the Services.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force.
  • No Waiver: Our failure to enforce any right or provision will not be considered a waiver of those rights.
